Terms of Service

The Site is intended for business users who are at least 18 years old (or the age of legal majority in their jurisdiction). By using the Site you represent that you meet this requirement and that, if you are acting on behalf of a company or other legal entity, you have authority to bind that entity to these Terms.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Site.

You will not: (a) attempt to gain unauthorized access to any part of the Site, our infrastructure, or accounts of other users; (b) probe, scan, or test the vulnerability of the Site or circumvent any security feature; (c) introduce viruses, worms, malicious code, or any technology intended to disrupt the Site; (d) scrape, harvest, or extract data from the Site through automated means in a manner that imposes an unreasonable load or violates these Terms; (e) impersonate any person or entity, or misrepresent your affiliation with a person or entity; (f) use the Site to send unsolicited commercial communications; or (g) use the Site in any manner that violates applicable export-control laws, sanctions programs, or other law.

All content on the Site — including text, design, layout, code, graphics, photographs, audio, video, animations, illustrations, trademarks, service marks, logos, and the overall look and feel — is the property of Metrica Development LLC or its licensors and is protected by United States and international intellectual-property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to view and use the Site for your personal or internal business purposes related to evaluating Metrica’s services. You may not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store, transmit, or create derivative works of any Site content without our prior written permission, except that you may print or download a reasonable number of pages for the sole purpose of evaluating our services.

“Metrica”, “Metrica Development”, and the Metrica logo are trademarks of Metrica Development LLC. All other trademarks shown on the Site are the property of their respective owners.

Submitting a discovery-call form, sending us a message, or otherwise expressing interest through the Site is a request to begin a conversation. It is not an offer to enter into a contract, an acceptance of any offer, or a binding commitment by either party.

Any engagement between you and Metrica begins only when both parties sign a separate written agreement — typically a statement of work or master services agreement — that sets out scope, deliverables, timeline, fees, payment terms, intellectual-property allocation, confidentiality, warranties, and other commercial terms. Until that document is executed, neither party is bound and either party may discontinue the conversation at any time, with or without reason.

Estimates, ranges, or sample timelines discussed during a discovery call are illustrative only and do not constitute a binding quote.

Once an engagement begins, our separate Service Terms — not these website Terms — govern the work we perform for you.

If you send us ideas, suggestions, feedback, or other materials relating to the Site or our services (“Submissions”), you grant Metrica a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, and incorporate those Submissions into our products, services, and operations without compensation or attribution. You represent that any Submission you provide is your own original work or that you have the rights necessary to grant this license.

The Site may contain links to or integrations with third-party websites, services, or platforms — for example, calendaring tools, video-conferencing platforms, payment processors, and social networks. We provide these links and integrations for convenience only. We do not endorse and are not responsible for the content, policies, practices, or availability of third-party services. Your interactions with third parties are governed solely by their terms and privacy policies.

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, METRICA DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND UNINTERRUPTED OPERATION.

We do not warrant that the Site will be error-free, secure, or continuously available, that defects will be corrected, or that any content on the Site is accurate, complete, or current. Your use of the Site is at your sole risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METRICA, ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF METRICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Metrica’s total aggregate liability arising out of or relating to the Site or these Terms, regardless of the form of action, will not exceed one hundred United States dollars (US$100). This limitation applies in the aggregate to all claims of every kind and nature.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the limitations above will apply to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless Metrica Development LLC, its affiliates, and their respective members, managers, officers, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual-property or privacy right; or (d) any Submission you provide.

These Terms and any dispute arising out of or relating to them or your use of the Site are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any action arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you irrevocably submit to the personal jurisdiction and venue of those courts.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

These Terms, together with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Metrica regarding the Site and supersede any prior agreements relating to the same subject matter.

We may update these Terms from time to time to reflect changes in our services, business, or applicable law. The “Last updated” date at the top of this page indicates when these Terms were last revised. Material changes will be highlighted on the Site or communicated to you by email where appropriate. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.
